Terms of Service

The terms governing use of The Food Group Verify.

These Terms of Service (“Terms”) govern your use of The Food Group Verify (the “Service”), which is operated for The Food Group by CMJ Consulting LLC (“CMJ Consulting,” “we,” “us”). By signing in to the Service — with Microsoft, with Google, or with an emailed sign-in link — you agree to these Terms and to our Privacy Policy. If you do not agree, do not sign in.

1. These Terms are the agreement

There is no separate signed master agreement for the Service. These Terms, together with the Privacy Policy and the Data Processing Agreement — both incorporated here by reference — are the entire agreement between CMJ Consulting LLC and The Food Group for the Service, and they replace any prior understanding about it. The Data Processing Agreement controls over these Terms on any question about how participant records are handled.

If CMJ Consulting LLC and The Food Group later sign a written agreement covering the Service, that agreement will control over these Terms to the extent of any conflict.

2. Fees and billing

The Food Group is billed for its use of the Service at the rates and on the schedule stated in the quote or invoice CMJ Consulting LLC provides. Fees are exclusive of any applicable taxes, and invoices are payable on the terms stated on them.

We will give The Food Group written notice before a rate change, which takes effect no earlier than the following billing period. If an invoice goes unpaid, we will notify The Food Group and allow a reasonable period to resolve it before suspending access.

Suspension or non-payment never deletes participant records, and never removes The Food Group’s ability to export them. The export rights in Data Processing Agreement §9.1 apply regardless of billing status. Records are deleted only on The Food Group’s instruction or on the post-termination schedule in §9.2 of that agreement.

3. Who may use the Service

The staff side of the Service is for authorized Food Group personnel. Sign-in is restricted to approved email domains and accounts, and The Food Group decides who is authorized and at what role. You must be at least 18 years old to hold an account.

Participants do not need an account. A participant uses only the verification page reached from a link we email, and confirming that link is the whole of their interaction with the Service.

4. Accounts and credentials

You are responsible for the accuracy of the information you provide, for keeping your credentials confidential, and for activity under your account. Do not share an account. If you believe your account has been accessed without authorization, notify The Food Group and email us at cmjconsultingmn@gmail.com promptly.

5. Handling participant information

The Service holds personal information about people who asked The Food Group for help. If you have staff access, you agree to use it only for The Food Group’s work: to look up, review, verify, and administer participant records. Do not export, copy, or share participant records outside The Food Group except as The Food Group directs, and do not use what you see in the Service for any purpose of your own.

6. Acceptable use

You agree not to: (a) use the Service in violation of applicable law or the rights of others; (b) attempt to gain unauthorized access to the Service, other accounts, or our systems; (c) interfere with or disrupt the integrity or performance of the Service; (d) reverse engineer or copy the Service except as permitted by law; (e) submit fabricated participant records or tamper with verification evidence; or (f) use the Service to store or transmit unlawful, infringing, or malicious content. We may suspend access to protect the Service, its data, or its users.

7. Automated risk signals

The Service scores records for signs of duplicate or fraudulent submission and routes uncertain cases to a review queue. These signals are assistive only, can be wrong, and are not a determination about any person. A staff member must review a flagged record before any decision is made about it, and no eligibility or benefit decision should rest on a score alone.

8. Availability

We work to keep the Service available but do not guarantee uninterrupted or error-free operation, and we may modify, suspend, or discontinue features. There is no service-level commitment. If we discontinue the Service, we will give The Food Group reasonable advance notice and time to export its records under Data Processing Agreement §9.1.

9. Intellectual property

The Service, including its software and design, is owned by CMJ Consulting LLC or its licensors and is protected by intellectual-property laws. We grant The Food Group and its authorized users a limited, non-exclusive, non-transferable right to use the Service in accordance with these Terms. The Food Group retains all rights in the participant records and other data it submits; we obtain no ownership rights in them.

10. Privacy and participant records

Our collection and use of personal information is described in the Privacy Policy. Our handling of participant records on The Food Group’s behalf — including security, retention, export, deletion, and breach notification — is governed by the Data Processing Agreement. Both are incorporated into these Terms by reference, and the Data Processing Agreement controls over these Terms on any data-protection question.

11. Disclaimers

Except as expressly stated in these Terms, the Service is provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will meet your requirements or be error-free.

12. Limitation of liability

To the fullest extent permitted by law, CMJ Consulting LLC will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, or data, arising out of or relating to your use of the Service.

Except for CMJ Consulting LLC’s obligations of confidentiality and data security under the Data Processing Agreement, our total liability arising out of or relating to the Service will not exceed the fees The Food Group paid us for the Service in the twelve months before the event giving rise to the claim.

13. Termination

You may stop using the Service at any time. The Food Group may remove your access at any time, and may end its use of the Service on written notice, with fees owed through the end of the then-current billing period. We may suspend or terminate access if you violate these Terms, to protect the Service or its data, or for non-payment under §2.

On termination, The Food Group’s export and deletion rights under Data Processing Agreement §9 apply. Provisions that by their nature should survive termination — including fees already owed, intellectual property, confidentiality of participant information, disclaimers, limitation of liability, and governing law — will survive.

14. Governing law and venue

These Terms are governed by the laws of the State of Minnesota, without regard to conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Service will be resolved in the state or federal courts located in Dakota County, Minnesota, and you consent to their jurisdiction.

15. Changes to these Terms

We may update these Terms from time to time. When we do, we revise the “Last updated” date above. Your continued use of the Service after a change takes effect, including any later sign-in, constitutes acceptance of the updated Terms.
